As noted in the previous question, the number of shares issuable upon settlement of an embedded derivative feature may be variable. If, however, the number of shares that can be issued upon settlement is capped by a contractual or regulatory limit, then the maximum number of shares issuable is determinable and can be compared to the company’s authorized and unissued shares to determine if a sufficient number of shares is available.
