This is a largely self-explanatory requirement. If failure to make timely filings results in cash settlement of the contract, then this criterion is not met. This should not be confused with a PENALTY for failure to make timely SEC filings. A penalty does not fail this criterion since the instrument is not cash settled if such payment is made. Rather, the instrument continues its existence unaffected by the cash penalty.
